MBWC Member Instructions: Please review Article IV addendum to the ByLaws and vote Yes, No or Abstain at the end of the article.
ARTICLE IV Meetings
Sec. 7. In the event of a declared emergency or other needs, members may participate in a meeting through the use of conference telephone, electronic video screen communication, or other communications equipment. Participation in a meeting pursuant to this Section constitutes presence in person at that meeting for purposes of a quorum if all of the following apply:
a. Each member participating in the meeting can communicate with all other members concurrently;
b. Each member is provided the means of participating in all matters before the Club, including the capacity to propose, or to interpose an objection to, a specific action to be taken by the organization; and;
c. The Club adopts and implements some means of verifying both of the following:
(1) A person communicating by telephone, electronic video screen, or other communications equipment is a member entitled to participate in MBWC meeting and;
(2) All statements, questions, actions, or votes were made by that member and not by another person not permitted to participate as a member.
Sec. 8. Notice of the electronic meeting shall be given at least 7 days before the meeting date to each Active member. Written notice may include notice by electronic transmission to the member’s e-mail address on record.
Sec. 9. Voting, to include ballot votes, may be done electronically. Any voting ballot should be sent at the time provided in Section 8 and should provide an opportunity to approve or disapprove the proposed action. Approval by electronic ballot shall be valid only when the number of votes cast equals or exceeds the number that would be required if the vote were taken at a meeting. Each member is responsible for the member’s own audio and Internet connections; no action shall be invalidated on the grounds that the loss of, or poor quality of, a member’s individual connection prevented participation in the meeting.
